General terms of trade
These terms apply to quotations issued and orders accepted by PT Multiagri Sarana Perkasa, except where a signed contract between the parties provides otherwise.

1. Quotations
Quotations are issued in writing and remain valid for the period stated on their face; where none is stated, fourteen (14) calendar days from issue. Prices exclude VAT and other applicable taxes unless expressly stated, and are based on the specification, quantity and delivery terms quoted. A change to any of these entitles the Company to revise the quotation. For sourced or imported equipment, quotations may be conditional on supplier confirmation and exchange rate bands stated on the quotation.
2. Orders and confirmation
A contract arises when the Company confirms a purchase order in writing. Order confirmations state the goods, quantities, prices, delivery schedule and payment terms, and prevail over conflicting terms in the buyer's documents. Cancellation or variation after confirmation requires the Company's written agreement and may attract costs already incurred with suppliers, including cancellation charges on factory orders.
3. Specifications and fitment
The buyer is responsible for the accuracy of part numbers, machine serial references and application data supplied to us. Where we source against a sample or a stated application, conformity is assessed against that reference. Goods correctly supplied against buyer-provided references are not returnable for fitment reasons.
4. Delivery
Delivery dates are given in good faith and pursued with reasonable diligence, but are estimates unless expressly agreed as binding. Delivery terms, place and transfer of risk are stated in the order confirmation. The buyer shall ensure the delivery site is accessible to the agreed vehicle type and that qualified receiving personnel are present, including any equipment needed for unloading heavy units.
5. Inspection and claims
The buyer shall inspect goods on delivery and note shortfalls or visible damage on the delivery document before signing. Claims for visible defects or transport damage must be notified in writing within five (5) working days of delivery; hidden defects within five (5) working days of discovery and within the applicable warranty period. Goods under claim must be preserved as received, and must not be installed, operated or modified, until the claim is resolved.
6. Warranty
New machinery and parts carry the manufacturer's warranty as stated on the order confirmation. Warranty is void where goods are installed or operated outside manufacturer instructions, modified, or serviced with non-conforming consumables. Our obligation under warranty is limited to administering the manufacturer's remedy: repair, replacement or credit as the manufacturer determines. Wear parts and consumables carry no warranty beyond conformity on delivery.
7. Payment and title
Invoices are payable by bank transfer within the term stated on the order confirmation. Advance payment or security may be required for first transactions and factory orders. Late payment entitles the Company to suspend deliveries and charge interest at the statutory rate. Goods remain the property of the Company until paid in full; until then the buyer shall store them identifiably and insured.
8. Sourcing and agency engagements
Where the Company acts under a sourcing or agency mandate rather than as seller, its obligations are those of diligent representation as defined in the mandate, and its remuneration is the fee or commission agreed in writing. The Company does not guarantee the performance of third parties introduced under a mandate unless expressly agreed.
9. Liability
The Company's liability for any claim arising from a transaction is limited to the invoice value of the goods concerned, except in cases of intent or gross negligence, or where mandatory law provides otherwise. The Company is not liable for indirect or consequential loss, including loss of profit, downtime, crop loss or business interruption.
10. Force majeure
Neither party is liable for failure caused by events beyond its reasonable control, including natural disasters, government measures, transport disruption and production interruptions at manufacturer level. The affected party shall notify the other without delay; obligations are suspended for the duration of the event.
11. Governing law and disputes
These terms and all transactions under them are governed by the laws of the Republic of Indonesia. The parties shall first seek amicable settlement; failing settlement within thirty (30) days, disputes go to the competent courts of Central Jakarta, unless the parties agree in writing to arbitration.
